PURCHASE TERMS FOR OLIGONUCLEOTIDE SINGLE GUIDE RNA PRODUCTS

TO PURCHASE ANY OLIGONUCLEOTIDE SINGLE GUIDE RNA PRODUCTS, YOU (“CUSTOMER”) MUST FIRST AGREE TO THE TERMS OF THIS AGREEMENT (“TERMS”). THIS AGREEMENT TAKES EFFECT WHEN CUSTOMER CLICKS AN “I ACCEPT” BUTTON. BY ORDERING OLIGONUCLEOTIDE SINGLE GUIDE RNA PRODUCTS, CUSTOMER AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ORDER ANY OLIGONUCLEOTIDE SINGLE GUIDE RNA PRODUCTS.

These Terms govern the sale of oligonucleotide single guide RNA products (“sgRNA” or “Product”) by Agilent Technologies Inc. and its subsidiaries (“Agilent”). These Terms are in addition to any other agreement that Customer may have with Agilent, including Agilent's standard terms of sale referenced in the applicable quotation, standard terms of use for its company website found at Agilent's standard terms of use and Agilent's privacy policy found at Agilent's Privacy Statement. To the extent there is a conflict between those terms and these Terms, these Terms shall prevail.

1. Custom Products. sgRNA are Custom Products for purposes of determining the terms that apply under Agilent’s standard terms of sale in the applicable quotation.

2. Orders. Customer will order sgRNA by signing and delivering to Agilent a purchase order for the prices set out in an Agilent-furnished quotation.

3. Sequence Information. Agilent shall maintain commercially reasonable security safeguards to prevent the unauthorized disclosure of the oligonucleotide sequences provided for the purpose of manufacturing sgRNA ("Sequence Information") and shall use such Sequence Information solely for the purposes licensed in the next sentence. Customer authorizes and grants Agilent a limited, non-exclusive, royalty-free, world-wide license to reproduce, transmit, disclose, display and use Sequence Information solely for the purpose of processing Customer’s transactions, manufacturing and providing ordered sgRNA to Customer and providing customer service and support. Notwithstanding the foregoing, Agilent may disclose information to the extent (i) it is required to do so by law; (ii) necessary to protect and defend the legal rights of Agilent; or (iii) required in order to comply with a judicial proceeding, court order, or government inquiry.

4. Liability.

  • I. IN NO EVENT WILL AGILENT, ITS SUBCONTRACTORS OR SUPPLIERS BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES (INCLUDING DOWNTIME COSTS, LOSS OF DATA, RESTORATION COSTS, OR LOST PROFITS) REGARDLESS OF WHETHER SUCH CLAIMS ARE BASED ON CONTRACT, TORT, WARRANTY OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS EXCLUSION IS INDEPENDENT OF ANY REMEDY SET FORTH IN THESE TERMS.
  • II. To the extent that limitation of liability is permitted by law, Agilent’s liability is limited to US $1,000,000; except that Agilent has no obligation for warranty claims for sgRNA beyond that which is provided in Section 8below. The limitation set forth in the foregoing sentence will not apply to damages for bodily injury or death.
  • III. The remedies in these Terms and the applicable quotation are Customer's sole and exclusive remedies.

6. Indemnification. Customer shall defend, indemnify and hold harmless Agilent, its officers, directors, shareholders, employees, successors, agents and assigns ("Agilent Indemnitees") from any and all claims, losses, damages, liabilities, costs and expenses incurred by Agilent Indemnitees (including reasonable attorneys’ fees) as a result of any claim, complaint, suit, proceeding, cause of action, judgment or adjudication related to or arising from Customer’s (i) use of the sgRNA; (ii) violation of any third party intellectual property rights, or (iii) breach of any of these Terms. The obligations set forth in this Section are in addition to any obligations set forth in the Label Licenses.

7. Restrictions. Customer shall use sgRNA solely for Internal Research and in accordance with all applicable laws, rules and regulations. “Internal Research” means internal research and development activities (including production of pre-clinical material) conducted by Customer or third party contract research organizations on Customer’s behalf, but specifically excluding (a) any clinical, therapeutic or diagnostic use of sgRNA or Derivatives, (b) the production or use of products, including Derivatives, for general sale, commercial purposes, or manufacture for clinical use, and (c) the sale of the sgRNA or Derivatives for commercial purposes or use in clinical trials. “Derivatives” means (i) progeny or derivatives of the sgRNA generated by the Customer (including but not limited to cells), and (ii) biological material extracted or derived from the sgRNA or its corresponding progeny or derivatives (including but not limited to cells). Customer is responsible for obtaining any necessary regulatory approvals for its use of sgRNA. The restrictions set forth in this Section are in addition to any restrictions in the Label Licenses.

8. Warranty. Agilent warrants that sgRNA when delivered to Customer will meet Agilent’s published specifications. The warranty period shall commence on delivery and expire 90 days thereafter. THE WARRANTIES IN THESE TERMS ARE EXCLUSIVE. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, AGILENT MAKES NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

9. License. sgRNA is offered for sale by Agilent under the following limited licenses and other terms (collectively, the “Limited Licenses”) and may be covered by one or more patents. Customer agrees to comply with the terms and conditions set forth in the Limited Licenses. Subject to the limited rights expressly granted herein, each party will retain all right, title and interest in and to patents, copyrights, trademarks, and all other intellectual property rights owned or controlled by such party.

  • Limited license to Agilent Intellectual Property.
    LIMITED USE LABEL LICENSE: RESEARCH USE ONLY This product is purchased from Agilent Technologies Inc. and may contain inventions, modifications or improvements that are covered by patents owned or controlled by Agilent Technologies, Inc or its affiliates. Agilent hereby grants a limited, nontransferable right to use the sgRNA, solely as provided to Customer, together with Derivatives, only to perform Internal Research for the sole benefit of Customer and for no other purpose.
  • Limited license under license agreement with the Broad Institute.
    The purchase price of the Product includes a limited license to use only the amount of the Product delivered herewith under the terms and conditions of the license agreement with the Broad Institute, which terms and conditions are located at www.agilent.com/en/product/crispr-cas/limited-license-broad.
  • Limited license under license agreement with Caribou Biosciences, Inc.
    LIMITED USE LABEL LICENSE: RESEARCH USE ONLY
    Notice to Purchaser: This product is purchased from Agilent Technologies Inc. subject to a “Limited Use Label License” conveying to the end-user purchaser (“Purchaser”) a limited, nontransferable right to use the product, solely as provided to Purchaser, together with (i) progeny or derivatives of the product generated by the Purchaser (including but not limited to cells), and (ii) biological material extracted or derived from the product or its corresponding progeny or derivatives (including but not limited to cells) (collectively, the product, as provided, and (i) and (ii) are referred to as “Material”) only to perform internal research for the sole benefit of the Purchaser.

    The Purchaser cannot sell or otherwise transfer Material to a third party, other than a third party under a contractual obligation to perform research for the sole benefit of the Purchaser or a third party that is a nonprofit performing collaborative research with the Purchaser, provided that any such transfer of Material is accompanied by this Limited Use Label License, or otherwise use the Material for any Excluded Use. “Excluded Use” means any and all: (a) commercial activity including, but not limited to, any use in manufacturing (including but not limited to cell line development for purposes of bioproduction), product testing, or quality control; (b) preclinical or clinical testing or other activity directed toward the submission of data to the U.S. Food and Drug Administration, or any other regulatory agency in any country or jurisdiction where the active agent in such studies comprises the Material; (c) use for human or animal therapeutic, diagnostic, or prophylactic purposes or as a product for therapeutics, diagnostics or prophylaxis; (d) activity in an agricultural field trial or any activity directed toward the submission of data to the U.S. Department of Agriculture or any other agriculture regulatory agency; and/or (e) editing of human embryo genomes. Notwithstanding the foregoing, Purchaser may use the Material to provide research services, information, or data to a third party under a fee-for-service contract; provided, however, that any transfer of Material to such third party is accompanied by this Limited Use Label License.

    It is the Purchaser’s responsibility to use the Material in accordance with all applicable laws and regulations.

10. Force Majeure. Agilent will not be liable for performance delays or for non-performance, due to causes beyond its reasonable control.

11. Survival. Provisions herein which by their nature extend beyond the termination of any sale of sgRNA will remain in effect until fulfilled.

12. Entire Agreement. These Terms together with the applicable quotation, Agilent’s standard terms of sale, standard terms of use for its company website and Agilent’s privacy policy constitute the entire agreement between Agilent and Customer, and supersede any previous communications, representations or agreements between the parties, whether oral or written, regarding the subject matter and transactions conducted hereunder. Customer's additional or different terms and conditions will not apply. Customer's purchase of sgRNA will constitute Customer's acceptance of these Terms, which may not be changed except by an amendment signed by an authorized representative of each party.

13. Governing Law. These Terms will be governed by the law set forth in the applicable quotation.
